A transaction is an outcome. The decision to pursue one comes first.
For business owners considering a sale, it is tempting to begin with valuation, potential buyers or market conditions.

Before entering a process, owners should consider:
- Why sell now?
- What are the alternatives?
- Is the business ready for scrutiny?
- What would need to improve before going to market?
- What does a successful outcome actually look like?
The same principle applies to acquisitions. The opportunity may look attractive on paper, but strategic fit, commercial rationale and execution risk need to be understood before committing significant time and resources.
Good transaction preparation is therefore not simply about getting a deal ready.
It is about making sure the deal is worth doing in the first place.
